Identification and Acceptance

This website and the Moneycode brand are operated by M2K Consultoria, Lda., corporate entity No. 517 063 352, with its registered office at Rua Interior do Europarque, 4520-153 Santa Maria da Feira, Portugal, and a share capital of EUR 50,000.00, hereinafter “M2K” or “Moneycode.”

By accessing, browsing, creating an account, requesting contact, or using any feature of the website, the user declares that they have read, understood, and accepted these Terms and Conditions. If you do not agree, you must refrain from using the website.

Scope of Services

Moneycode provides information, digital tools, and services related to:

  • Funding & Fundraising — support for preparation, structuring, identifying opportunities, and approaching potential sources of funding;
  • Crowdfunding — an area subject to the regulatory framework and the conditions set forth in point 3;
  • M&A — support for the preparation of and establishing contact between potential parties interested in acquisitions, sales, investments, partnerships, or corporate reorganizations.

Unless otherwise specified in a written agreement, the content, contact information, and features of the website are of a general nature and do not constitute legal, tax, accounting, financial, or investment advice, nor do they constitute personalized recommendations.

Crowdfunding and Payments

The Crowdfunding module is currently undergoing the authorization process with the Portuguese Securities Market Commission (CMVM). Until the applicable authorization is obtained, Moneycode does not provide regulated crowdfunding services to the public, does not act as an authorized provider for receiving or transmitting orders, facilitating loans, or placing investment instruments, and does not receive or hold client funds.

Once authorization is granted, the regulated features will only be made available in accordance with the terms of the authorization granted, applicable law, the platform’s specific terms and conditions, and the applicable pre-contractual and risk disclosures.

Payments, when applicable, will be processed by a duly authorized third-party payment service provider. M2K does not directly provide payment services nor does it hold customer funds on its own behalf.

Account Registration and Use

The user must provide complete, accurate, and up-to-date information. Moneycode may request information regarding identification, representation, beneficial ownership, tax status, financial status, professional status, or other details necessary for pre-contractual, contractual, regulatory, security, or fraud and money laundering prevention purposes.

The user is responsible for maintaining the confidentiality of their login credentials and must immediately report any unauthorized use to privacidade@moneycode.pt. Moneycode may deny, suspend, or terminate access in the event of incorrect information, risk of fraud, breach of these Terms, legal or regulatory obligations, or security risks.

User Responsibilities

The user agrees to use the website in a lawful and diligent manner. In particular, it is prohibited to use the identities or documents of third parties without authorization; to enter false or misleading information; to interfere with the security or availability of the website; to collect data through unauthorized automated means; or to use the platform for fraud, money laundering, terrorist financing, or any other unlawful activity.

Information, Risk, and Disclaimer

The information provided, including data on projects, developers, companies, markets, potential investors, valuations, indicators, or ratings, may be based on third-party sources. Moneycode does not guarantee that it is complete, up-to-date, or suitable for the user’s individual decision.

The decision to invest, finance, buy, sell, or enter into a transaction rests solely with the user, who should conduct their own analysis and, if necessary, seek independent advice. There is no guarantee of obtaining financing, attracting investment, completing an M&A transaction, achieving a return, ensuring liquidity, preserving capital, or future performance.

When regulated crowdfunding transactions are made available, the applicable legal disclaimers and documents will be provided. Investing may result in a partial or total loss of the amount invested.

Intellectual Property, Third Parties, and Liability

The website, the Moneycode brand, software, design, text, images, graphics, logos, and all other content are the property of M2K or third-party licensors. Their reproduction, modification, distribution, extraction, or commercial use is prohibited without written authorization, except to the extent permitted by law.

Links, integrations, and third-party content are governed by the terms of those third parties. To the fullest extent permitted by law, Moneycode is not liable for indirect damages, lost profits, loss of opportunity, loss of data, or losses resulting from decisions made solely on the basis of general content, temporary unavailability, or the actions of third parties. This limitation does not affect consumers’ mandatory rights.

Complaints, Amendments, and Governing Law

For complaints, please see the “Complaints Book” page or contact privacidade@moneycode.pt. Moneycode may amend these Terms for legal, regulatory, security, or operational reasons; the current version is the one published on the website.

Portuguese law applies. Without prejudice to mandatory provisions and consumer rights, the courts of the district where M2K has its headquarters shall have jurisdiction.
